This End User License Agreement ("EULA") is a legal agreement between you ("User") and MML Digital, operated by Marlete Maria Lima, Rua Wilson Teixeira, 820, Jardim Panorama Ipatinga - MG, CEP: 35164-246, Brazil ("Licensor"), governing your use of MML Digital software, including FocusForge, AcousticZen Module, CogniVault System, SyncRoutine Engine, PaceKeeper Protocol, TaskArchitect Matrix and any updates or related documentation (the "Software"). By accessing or using the Software, you agree to this EULA.
1. License Grant
Subject to your compliance with this EULA and our Terms of Service, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your personal or internal business organization and productivity purposes.
2. Restrictions
You may not:
- copy, modify, translate or create derivative works of the Software;
- reverse engineer, decompile or disassemble the Software, except as expressly permitted by law;
- rent, lease, lend, sell, sublicense or otherwise commercially redistribute the Software;
- remove or alter any proprietary notices, labels or marks;
- use the Software to build a competing product or to violate any applicable law;
- circumvent any security, usage limit or license control mechanism.
3. Ownership
The Software is licensed, not sold. The Licensor and its licensors retain all right, title and interest, including all intellectual property rights, in and to the Software. Your data remains yours.
4. Intended Use
The tools and applications provided by MML Digital are strictly for personal organization and productivity management. They do not constitute medical, psychological, therapeutic, or financial advice. We provide software solutions, not clinical outcomes.
Audio features (such as binaural beats and lo-fi frequencies) are provided for focus and ambient noise masking only. Use them at a comfortable volume and discontinue use if you experience discomfort.
5. Updates
The Licensor may provide updates, patches or new versions of the Software, which may modify or remove features. Updates are governed by this EULA unless accompanied by separate terms.
6. Third-Party Components
The Software may include open-source or third-party components licensed under their own terms, which govern your use of those components.
7. Term and Termination
This EULA is effective until terminated. It terminates automatically if you fail to comply with any of its terms. Upon termination, you must stop using the Software. Sections 3, 8, 9 and 11 survive termination.
8. Disclaimer of Warranties
To the maximum extent permitted by law, the Software is provided "as is" without warranty of any kind. The Licensor does not warrant that the Software will meet your requirements, operate without interruption or be error-free.
9. Limitation of Liability
To the maximum extent permitted by law, the Licensor shall not be liable for any indirect, incidental, special or consequential damages, including loss of data or profits, arising from the use or inability to use the Software. Mandatory consumer rights under Brazilian law are not affected.
10. Export and Compliance
You agree to use the Software in compliance with all applicable laws and regulations.
11. Governing Law
This EULA is governed by the laws of Brazil. Disputes shall be resolved in the courts of Ipatinga, Minas Gerais, Brazil, without prejudice to mandatory consumer jurisdiction rules.
